TERMS of USE
    
The Translation Town Online Service is supplied by The Language Business SL via the Internet. Using this service implies acceptance of all the clauses shown below. By clicking on the "Accept" button, you are ACCEPTING all the conditions and clauses within this contract. If you do not agree with the conditions of this contract, YOU SHOULD NOT USE OUR SERVICE.

The Language Business SL is a company dedicated to the on-line management of services connected to translation, acting as an intermediary between clients and translators.

The Language Business SL reserves the exclusive right to modify the conditions of this contract without notice.

Explanation of the most common terms:


USER: Client and/or Translator.

CLIENT: The natural or artificial person requiring a translation service and who accesses the services of the portal for this purpose. 

TRANSLATOR: The natural or artificial person carrying out this activity as a professional, and registering on our portal with the purpose of offering its professional translation or interpreting services.

TT: The translation portal managed by The Language Business, S.L. offering translation-related services to Clients and Translators.

PROJECT: Documentation which the Client wishes to have translated, and the details of which it publishes on the portal in order to obtain Quotations.

QUOTATION: An estimate of the cost of the service, compiled and submitted by the Translator, specified in the Client's Project.

JOB:	The translation element of the Project which has been assigned to a Translator based on a received Quotation.

AGREEMENT: All the conditions and clauses within this present contract, which shall govern the use of TT and which the Users accept when they register.


DUTIES OF THE USER

1. Information. To supply the correct, detailed and up to date information on the registration form. Supplying incorrect, incomplete or obsolete information shall be sufficient cause for TT to deem this Agreement closed without entitlement to any claim or refund of the sums paid prior to this time for the services provided by TT. The user shall be obliged to make TT aware of any changes to its data by updating them in its personal account. TT shall not be responsible before third parties in cases where the information supplied by any User is false or wrong, and the User shall at all times be answerable to any consequences resulting therefrom.

2. Use of the Internet. The USER must abstain from using the website or its services without the express authorization of its owner, and must at all times follow the instructions and indications supplied by TT for correct use of the same.

3. Any direct or indirect manipulation of the Quotation for a Project is expressly prohibited; similarly, no Users may interfere with Quotations issued by third parties. 

4. Once the User data are transmitted by TT to one or other party, neither the Client nor the Translator may attempt to reach an agreement outside that arranged via TT for the project. Such an attempt will be sufficient for TT to terminate the agreement with the parties and take the necessary steps to block their access to the website, without any entitlement to refund of payments made prior to that time for the services rendered by TT.

5. The User shall be liable for any losses or damages which TT may suffer through improper and negligent use of the website, and for any damages or losses caused through breach of the terms described in the preceding paragraph. 

DUTIES OF THE TRANSLATOR

1. To recognize the origin of a debt towards TT, corresponding to 10% of the total Quotation value, as soon as the latter is accepted by a Client. The invoicing and payment of the said debt shall be conducted at all times according to the terms indicated by TT.

The sum outlaid by the Client as an advance upon acceptance of a Quotation shall be deducted from the debt referred to in the preceding paragraph. Accordingly, the Translator shall deduct this advance when invoicing the Client.


DUTIES OF TT

Towards the Users

1. To facilitate and maintain access for the Users to the portal, even if the website is temporarily inaccessible for technical reasons.

2. Confidentiality. TT shall not supply to third persons any information of a personal or other nature which may facilitate User traceability or identification for purposes other than those established in this present Agreement. 

Towards the Client

To return the advance paid by the Client on accepting a Quotation if requested to do so within 15 days following acceptance and after TT has verified that it has been impossible to contact the Translator or that the latter is refusing to carry out the Job within the terms stipulated on the Quotation because of latent difficulties with the project which he could not have been aware of and if the parties fail to reach a subsequent agreement.

Towards the Translator.

1. To include on the translator database the information which the Translator has entered on the registration form, and to keep it unchanged. To keep the Translator's contact details hidden until such time that the Client gives the Job to the Translator. The data relating to the specializations, skills, work procedure, rates and technical equipment shall be visible to the Clients during the Translator search process.

2. To keep the Translator's account active with full access to the services on the website, once the registration fee has been paid (except during promotions) and during the time when the most recently paid registration fee is valid. 

3. To include the Translator in the results of a search by a Client when the criteria of such a search match the data which the Translator has filed on registration. The order of appearance of the results shall be determined by the following criteria, where applicable:
a. Language pair and specialist subject, in this order:
-  Primary language pair and subcategory of specialization
-  Primary language pair and main category of specialization
-  Secondary pair and subcategory of specialization
-  Secondary pair and main category of specialization 
b. Number of quotations sent. Within each of the groups mentioned above those Translators who have produced the most Quotations since the 1st of January of each year to date shall appear first.

4. To deduct the advance paid by the Client on accepting the Translator's Quotation from the debt of the Translator towards TT which such acceptance instigates. 


DISCHARGE OF RESPONSIBILITIES

The Users alone are responsible for the execution of the translation contract referred to as the Job, including the price, method of payment, intellectual property, confidentiality, privacy and security. 

TT is a passive intermediary, not one of the parties, hence it shall not be responsible for the quality of the Job, the authenticity or accuracy of the Quotation or the information provided by the parties about the Project and/or the identity, sincerity or solvency of the Client or the Translator. Similarly, it shall not be responsible for any actions or omissions of the Users either in the relations which they maintain between themselves or those with third parties.
